1. Acceptance of Terms
By accessing, registering for, or utilizing the comprehensive suite of services provided by RepoCloud, LLC ("RepoCloud," "we," "us," or "our"), you ("User," "You," or "Your") unequivocally agree to be bound by these detailed Terms and Conditions ("Terms"). These Terms meticulously govern your access to, and use of, the RepoCloud platform, encompassing all content, functionalities, and services offered on or through the platform. Should you disagree with any part of these Terms, you are strictly prohibited from accessing or using the Service in any capacity.
Furthermore, by engaging with the Service, you explicitly represent and warrant that you possess the full legal capacity and authority to enter into these Terms and to adhere to all the stipulated terms and conditions set forth herein. This includes ensuring that your use of the Service complies with all applicable local, state, national, and international laws, rules, and regulations.
2. Changes to Terms
RepoCloud retains the exclusive right, at our sole discretion, to modify, amend, or replace these Terms at any given time without prior notice. In the event that a revision constitutes a material change, we commit to providing a minimum of thirty (30) days' notice prior to the implementation of any new terms. This notification will be effectuated by updating the "Last Updated" date prominently displayed at the beginning of these Terms and, where appropriate, by offering additional notice through other suitable channels.
Continued access to or use of our Service subsequent to the effective date of such revisions unequivocally signifies your acceptance and agreement to be bound by the updated Terms. Should you choose not to accept the new Terms, you must discontinue your use of the Service immediately, as you will no longer be authorized to utilize it.
It is incumbent upon you to regularly review these Terms to remain informed of any changes or updates. Your ongoing use of the Service following the posting of any modifications constitutes your explicit acceptance and acknowledgment of those changes.
3. Use of the Service
You hereby agree to utilize the Service in strict accordance with these Terms and all applicable laws, regulations, and standards at the local, state, national, and international levels. RepoCloud grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your personal or internal business purposes, all of which are subject to compliance with these Terms.
- Conduct: You bear sole responsibility for all content, data, text, files, and information ("Content") that you upload, submit, or display through the Service. You agree to adhere to all applicable laws and regulations in connection with your use of the Service. Any use of the Service for unlawful or prohibited activities, including but not limited to infringing upon intellectual property rights, transmitting malicious software, or engaging in fraudulent actions, is strictly forbidden.
- Usage Limits: RepoCloud reserves the right to implement and adjust usage limitations, which may include restrictions on the number of app deployments, allocation of compute resources, and storage capacities. These limits are subject to change at our discretion. We maintain the authority to suspend or terminate your access to the Service should you exceed these limits or engage in activities that adversely affect the functionality or integrity of the Service.

Affiliate Referral Program: RepoCloud offers an affiliate referral program wherein participants can earn a referral commission of twenty-five percent (25%) on qualifying transactions. Commissions are paid on a sixty-day net basis, aligning with industry standards. Affiliates are strictly prohibited from engaging in the following practices:
- Using the brand keywords "RepoCloud" in their promotional campaigns in a misleading or unauthorized manner, including bidding on PPC (Pay-Per-Click) search campaigns on platforms such as Google or Bing.
- Employing spam tactics, such as unsolicited emails, bulk messaging, or any form of mass communication without recipient consent.
- Utilizing deceptive advertising methods to promote referral links.
- Engaging in fraudulent activities, including the creation of fake accounts or manipulation of referral tracking mechanisms.
- Purchasing or incentivizing clicks or traffic through third-party services that violate these terms.
- Credit Usage: All credits earned or provided do not expire and can be utilized across any application available within the RepoCloud platform. Credits are non-refundable and cannot be exchanged for cash or other forms of compensation.

Restrictions: Except as expressly permitted by these Terms, you are prohibited from:
- Reproducing, copying, or duplicating any part of the Service;
- Modifying, adapting, or creating derivative works based on the Service;
- Reverse engineering, decompiling, or disassembling the Service;
- Removing, altering, or obscuring any proprietary notices or labels on the Service;
- Using the Service for any competitive purposes or to develop a similar service.
- Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and are fully accountable for all activities that occur under your account. You agree to promptly notify RepoCloud of any unauthorized use, or suspected unauthorized use, of your account or any other breach of security.
- Payment and Billing: Access to certain features of the Service may necessitate the payment of fees. You agree to provide accurate, current, and complete billing information. RepoCloud reserves the right to modify its pricing structure at any time, with such changes taking effect upon being posted on the platform. Failure to remit any required fees may result in the suspension or termination of your account without refund.
4. Privacy Policy
Your privacy is of paramount importance to RepoCloud. Our comprehensive Privacy Policy delineates how we collect, utilize, disclose, and safeguard your personal information when you engage with our Service. By using the Service, you provide explicit consent to the practices and procedures outlined in the Privacy Policy.

- Data Security: RepoCloud employs state-of-the-art security measures to protect your personal information from unauthorized access, disclosure, alteration, and destruction. Nevertheless, no method of transmission over the Internet or electronic storage is entirely secure, and we cannot guarantee absolute security.
- Data Retention: We retain your personal information only for as long as necessary to provide the Service, comply with our legal obligations, resolve disputes, and enforce our agreements. Upon deletion of an app instance, all associated data is irretrievably deleted and cannot be recovered.
- Your Rights: Depending on your jurisdiction, you may possess rights concerning your personal information, including the right to access, correct, or delete your data. To exercise these rights, please contact us through the provided communication channels.
5. Limitation of Liability and Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. REPOCLOUD, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- No Warranties: RepoCloud does not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any information obtained through the Service.

Limitation of Liability: To the fullest extent permitted by law, RepoCloud, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Service;
- Any unauthorized access to or use of our servers and/or any personal information stored therein;
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party;
- Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service;
- Any defamatory, offensive, or illegal conduct of any third party on the Service;
- And/or any other matter related to the Service.
- Indemnification: You agree to indemnify, defend, and hold harmless RepoCloud, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including legal fees and costs, arising from or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.
6. General Terms
- Governing Law: These Terms and any disputes arising out of or related to them will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
- Dispute Resolution: Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.
- Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible.
- Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and RepoCloud’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
- Entire Agreement: These Terms constitute the entire agreement between you and RepoCloud, LLC regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
- Assignment: RepoCloud may assign, transfer, or delegate any of its rights and obligations under these Terms without your consent. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without RepoCloud’s prior written consent.
